The fine print, in plain English.

These terms cover two things: using this website, and working with Kaliber Studios on a project. They are governed by Thai law. Each project also gets its own proposal, and where the two differ, the proposal wins.

Who these terms are for

In short
Anyone using kaliberstudios.com, and any client who hires us. Your project proposal sits on top of these terms.

"We", "us" and "the studio" mean Kaliber Studios Co. Ltd., a company registered in Thailand at 18/8 Bang Bao Plaza, Koh Chang, Trat 23170, Thailand. "You" means a visitor to this site or a client engaging us for services.

By using the site or engaging us you accept these terms. If you engage us on behalf of a company, you confirm you are authorised to do so. Every project is also described in a written proposal or statement of work; if a proposal conflicts with these terms, the proposal applies to that project.

Using the website

In short
Look, read, get in touch. Do not scrape it, attack it or pass its contents off as your own.

You may browse the site and use the contact form for genuine enquiries. You agree not to interfere with the site or its hosting, attempt to gain unauthorised access, submit malicious code, harvest data from it, or use it for anything unlawful.

The site is provided as it is. We try to keep it accurate and available but do not promise that it will be error-free or uninterrupted.

Our content and intellectual property

In short
The site, its design, code and words are ours. Client work shown is shown with permission. Ask before reusing anything.

Unless stated otherwise, the design, code, copy, graphics, animations and case studies on this site are owned by the studio or used under licence, and are protected by Thai copyright law and international treaties. Client names, logos and project material appear with the relevant client's permission and remain their property.

You may not copy, reproduce, adapt or distribute any of it without our written consent, other than viewing it in your browser or sharing links to it.

How a project starts

In short
An enquiry is a conversation, not a contract. Work starts when you accept a written proposal and the first invoice is paid.

After an initial conversation we send a written proposal setting out scope, deliverables, timeline, fees and payment schedule. A project begins when you accept the proposal in writing (email is fine) and the first invoice, usually a deposit, has been paid.

Estimates are based on the information available at the time. If the brief changes, the proposal is revised before further work is done.

Fees, payment and tax

In short
Priced in Thai baht unless agreed otherwise. Invoices due in 14 days. Late payment pauses the work.

Fees are quoted in Thai baht unless the proposal states another currency. Invoices are payable within 14 days by bank transfer to the account on the invoice. Deposits are non-refundable once work has started.

Where applicable, Value Added Tax at the prevailing Thai rate is added to our fees. Clients in Thailand who are required to deduct withholding tax may do so at the statutory rate, provided the withholding tax certificate is issued to us. Clients outside Thailand are responsible for any taxes, duties or bank charges in their own country.

If an invoice is overdue we may pause the project and any hosting or support we provide until it is settled, and charge interest at the default rate permitted under the Thai Civil and Commercial Code.

What we need from you

In short
Feedback, content and decisions on time. Delays on your side move the schedule, not the price.

Good work needs a good partner. You agree to provide the content, access, feedback and approvals set out in the proposal within the agreed timeframes. Where they are late, the schedule moves accordingly and, if the delay is substantial, we may need to re-plan the project or invoice for time already committed.

You confirm that any material you give us (text, images, logos, data, fonts, code) is yours to use or properly licensed, and you are responsible for its accuracy and for any claims arising from it.

Revisions and changes of scope

In short
Each stage includes the revision rounds in the proposal. Anything beyond that is a change request, quoted before we do it.

The proposal states how many revision rounds each stage includes. A revision refines the agreed direction; a change of direction, new features, extra pages or additional deliverables are changes of scope. We will tell you when a request falls outside the scope, quote for it, and proceed only once you agree.

Approval of a stage (for example the design) is required before the next stage begins. Once a stage is approved, reopening it is treated as a change of scope.

Who owns the work

In short
You, once the final invoice is paid. We keep our tools and know-how, and may show the project in our portfolio.

When the final invoice for a project is paid in full, we assign to you the intellectual property in the final deliverables described in the proposal. Until then, all rights remain with the studio and you have a licence to use the work only for review.

We keep the rights to our pre-existing materials: our design systems, code libraries, components, methods and know-how. You receive a perpetual, non-exclusive licence to use any of them that are incorporated in your deliverables. Fonts, stock images, plugins and other third-party assets are used under their own licences, which you may need to hold in your own name.

Unless you tell us in writing before the project ends, we may show the work, and name you as a client, in our portfolio, on this site, on social media and in award entries. We will not disclose confidential details.

Third-party platforms and hosting

In short
Framer, WIX, payment gateways and the rest have their own terms and prices. Subscriptions sit in your name.

Many projects are built on third-party platforms such as Framer, WIX, Figma, Lovable, Firebase, Xendit or app stores. Their terms, pricing and availability are theirs, not ours. Where possible, accounts and subscriptions are opened in your name so you keep control after handover. We are not responsible for changes, outages or fees imposed by those providers.

Confidentiality and data

In short
What we learn about your business stays between us. Where we handle your customers' data, we do it under a written agreement.

Each of us will keep the other's non-public information confidential and use it only for the project, both during the engagement and afterwards. This does not apply to information that is already public, that was known to the receiving party beforehand, or that must be disclosed by law.

If a project involves us processing personal data of your customers or users on your behalf, for example when we build or fix a platform that holds their details, we act as your processor. We will sign a data processing agreement with you where the PDPA or the GDPR requires one, follow your documented instructions, and delete or return the data at the end of the project.

Warranties and liability

In short
We do the work with skill and care. We cannot promise business results, and our liability is capped at what you paid us for that project.

We will perform our services with reasonable skill and care and in line with the proposal. We do not guarantee any particular commercial outcome: search rankings, traffic, sales, funding or app-store approval depend on many things outside our control.

To the extent permitted by Thai law, our total liability arising from a project is limited to the fees you have paid us for that project, and neither of us is liable to the other for indirect or consequential losses such as lost profit, revenue or data. Nothing in these terms excludes liability that cannot be excluded under Thai law, including for fraud or wilful misconduct.

Pausing or ending a project

In short
Either side can end it with 14 days' written notice. You pay for the work done up to that point.

Either party may end a project on 14 days' written notice. You will be invoiced for work completed and costs committed up to the end date, and any deposit is applied against that amount. If a project is paused at your request for more than 30 days, restarting it may require a new schedule and, where our costs have changed, a revised proposal.

Sections on intellectual property, confidentiality, payment and liability continue to apply after a project ends.

Things outside our control

In short
Storms, ferry cancellations, island power cuts, platform outages, illness. When they hit, deadlines move and nobody is in breach.

Neither party is responsible for failing to meet an obligation because of events beyond their reasonable control, including severe weather and monsoon conditions, transport disruption to and from Koh Chang, power or internet outages, platform failures, illness, epidemics, government action or natural disaster. The affected party will let the other know promptly and the timeline is extended for as long as the event lasts.

Governing law and disputes

In short
Thai law. If something goes wrong we talk first; failing that, the courts of Thailand decide.

These terms and every project are governed by the laws of the Kingdom of Thailand. If a dispute arises we will each make a genuine effort to resolve it through discussion, and if helpful through mediation, before taking any other step. Any dispute that cannot be resolved that way is subject to the exclusive jurisdiction of the courts of Thailand.

If any part of these terms is found to be unenforceable, the rest continues to apply. These terms are written in English; if a Thai translation is provided and there is a conflict, the English version prevails unless Thai law requires otherwise. Nothing in these terms takes away rights that consumer law in your own country gives you and that cannot be excluded by agreement.

Changes to these terms

In short
We may update them. The version at the top tells you which one applies. Projects already under way keep the terms they started with.

We may revise these terms from time to time. The version and date at the top of this page show the current edition. Projects already under way continue under the terms in force when the proposal was accepted, unless we agree otherwise in writing.
